1. Introduction & Nature of Service

These Terms and Conditions ("Terms") govern your access to and use of the Soviez ERP platform, website, licensing services, optional marketplace add-ons, and related digital products (collectively, the "Services"). By creating an account, completing a purchase, or deploying our software, you agree to be bound by these Terms in full.

Soviez Cloud (the customer-facing web platform for storefront, licensing, billing, Partner Workspace, and Technical Support) delivers advanced enterprise-grade automation workflows engineered independently upon the open-source Odoo 18 Community Edition (LGPL-3) infrastructure. Soviez ERP is an independent custom software distribution built on that same Community Edition core, providing an enterprise-emulated environment with native compatibility for standard Odoo Enterprise-class applications, modules, and workflows as implemented within this self-hosted product—without a per-user Odoo S.A. subscription. Visual Studio toolkits and other no-code UI application builders are intentionally excluded; customer-specific extensions must be delivered through structured, version-controlled developer modules.

Soviez ERP and Soviez Cloud are not Odoo Enterprise, are not distributed by Odoo S.A., are not endorsed by, affiliated with, or sponsored by Odoo S.A., and do not include proprietary Odoo S.A. subscription entitlements, Odoo Enterprise license grants, or official Odoo S.A. support channels unless expressly stated otherwise in writing. No relationship with Odoo S.A. shall be implied by use of Odoo documentation references or functional terminology.

Our core product is delivered as containerized Docker images intended for self-hosted deployment on infrastructure controlled entirely by you or your organization. Optional paid add-ons—including VIP deployment assistance—are separate execution services and do not alter your underlying software license grant unless expressly stated at checkout.

2. Refund Policy: Licenses vs. Add-on Services

Software licenses and service add-ons are governed by separate refund policies. Because Soviez ERP delivers digital software licenses and grants instant access to proprietary container infrastructure and cryptographic activation materials upon successful payment, core license sales are final and non-refundable under any circumstances, including but not limited to:

  • Accidental purchases or buyer's remorse;
  • Failure to deploy, configure, or use the software;
  • Incompatibility with your infrastructure, personnel, or workflows;
  • Changes in business requirements after purchase; or
  • Any dispute regarding third-party software, hosting providers, or network conditions.

Installation and deployment add-ons (including VIP Deployment Assistance and related "Installation Request" tickets) are optional professional services purchased in addition to—or bundled with—license entitlements. Once an Installation Request transitions to "Pending Review" or "Processing" status—meaning you have submitted server credentials and our team has begun or queued technical review—those service fees become strictly non-refundable, regardless of deployment outcome, unless we expressly agree otherwise in writing.

No credit, chargeback reversal, partial refund, or license exchange will be issued for consumed license entitlements or for installation add-ons that have entered active review or processing.

Technical Support Subscription Plans

Recurring Technical Support Plans (monthly or annual) purchased through Stripe are classified as FinTech-grade digital service entitlements. Upon successful payment and subscription activation, all Technical Support fees are strictly non-refundable—including partial billing periods, unused ticket capacity, or buyer's remorse—regardless of whether you open a support ticket or consume engineer time.

You may cancel a subscription at any time; premium routing continues until the end of the paid billing period already invoiced, with no automatic renewal thereafter. Cancellation does not entitle you to a refund for time already purchased.

Per-instance anchoring: Technical Support entitlements are architecturally bound to a single Deployed Production Fingerprint selected at checkout or in your dashboard. Each active subscription authorizes premium ticket routing, SLA scope, and engineer escalation exclusively for that node. Support plans, license keys, and enterprise workflow entitlements cannot be shared, pooled, or transferred across disparate host nodes, secondary environments, staging clusters, or unrelated instances without purchasing a separate subscription for each production instance.

3. Cryptographic License Binding, Migration Credits & 2FA Protocol

Each production license key is uniquely and cryptographically signed using the Ed25519 asymmetric algorithm and is bound at generation to a single production Instance Fingerprint (MAC::UUID) that you supply when the key is first issued. Loopback addresses and RFC1918 private network ranges are rejected at activation and migration.

Initial generation: Before a license key is burned to an IP, the Platform requires email-based two-factor verification (2FA)—a one-time 6-digit code sent to your registered email, valid for ten minutes and consumable once. You must complete this gate to authorize key generation.

IP migration credits: When your infrastructure changes, you may relocate a license to a new static production IP using Migration Credits (migration tokens) displayed in your dashboard. Each successful migration:

  • Requires the same email 2FA verification protocol;
  • Consumes one migration credit from your license or account balance;
  • Re-issues a new cryptographically signed key bound to the new IP; and
  • Requires a validated local HMAC deactivation receipt from the prior machine, verified with timing-safe comparison, proving the old binding was released before the new IP is authorized.

Incorrect IP at generation: If you provide an incorrect, dynamic, temporary, shared, or non-production IP during initial key generation—including development IPs, NAT egress pools, VPN endpoints, or cloud ephemeral addresses—Soviez ERP is under no obligation to issue a complimentary re-sign, grant free migration credits, or provide a refund. Verify your static production outbound IP before completing 2FA and confirming generation.

Migration credits are finite entitlements. Additional credits may be purchased through the add-ons marketplace or granted at our sole discretion. Attempting to circumvent IP binding, share keys across environments, or abuse the migration system constitutes a material breach of these Terms.

4. Core License Scope vs. Optional Add-on Services

Your Soviez ERP lifetime license entitles you to deploy and operate the distributed container image on infrastructure you control. Unless you separately purchase an eligible add-on, the license fee does not include:

  • Hands-on installation or deployment services;
  • Custom implementation, integration, or migration work;
  • Ongoing maintenance, patching, or managed hosting;
  • End-user training, change management, or operational consulting; or
  • Day-to-day technical support for your production environment.

Orchestrating, deploying, hardening, monitoring, backing up, and maintaining the Docker environment—and all underlying server, network, and security controls—is 100% the customer's sole responsibility when no installation add-on is active.

5. Installation Requests (Optional Execution Services)

Installation Requests are optional, ticket-based execution services offered through our add-ons marketplace (for example, VIP Deployment Assistance). They are distinct from your core software license and exist solely to facilitate deployment assistance on infrastructure you designate.

An Installation Request does not transfer ownership of your servers, databases, or business data to Soviez ERP. It authorizes our installation engineers to perform scoped deployment work using credentials you voluntarily provide through the customer dashboard for the duration of an active ticket.

Ticket status progression—including "Action Required," "Pending," "Processing," and "Completed"—reflects workflow state only and does not expand our liability beyond the defined installation scope.

6. Customer Obligations & Server Credentials

If you purchase an installation add-on, you agree to provide accurate, complete, and authorized server access details when prompted, which may include production host addresses, SSH usernames, SSH passwords, hosting provider identifiers, and related database connection parameters required to complete the deployment script.

You represent and warrant that:

  • You have lawful authority to grant access to the submitted infrastructure;
  • Credentials correspond to the intended production or staging environment;
  • You have maintained independent backups of critical data before work begins; and
  • You will rotate or revoke credentials after service completion if your security policy requires it.

Soviez ERP is not liable for pre-existing server misconfigurations, third-party hosting outages, database corruption, data loss, security incidents, or production downtime that arise from conditions outside the direct, documented scope of our installation script execution—including failures caused by incompatible OS images, firewall rules, insufficient resources, or customer-side changes made during or after deployment.

7. Cart Abandonment & Pending Order Deletion

Incomplete checkout sessions may create pending purchase records visible in your customer dashboard. You may delete any pending order at any time before payment is completed using the cart removal controls provided in the dashboard interface.

Deleting a pending order immediately terminates the associated checkout intent and any provisioned Installation Request ticket linked to that unpaid purchase. Once deleted, the pending order cannot be restored and any in-progress installation workspace data tied exclusively to that order is purged from our systems in accordance with our Privacy Policy.

Deleting a pending order does not cancel, refund, or alter any separately completed and paid license or add-on transaction.

8. Partner Workspace Escrow, Platform Fees & Wallet Indemnification

The Partner Workspace marketplace uses milestone-based escrow to protect clients and partners. By participating as a client or partner, you acknowledge and agree to the following financial mechanics:

  • Milestone funds move from pending_escrow status into a locked escrow_balance only upon explicit client funding authorization through the Platform's process_milestone_escrow_funding RPC.
  • Upon voluntary client approval and release, the Platform deducts a fixed platform automation fee (authoritatively resolved server-side, currently defaulting to 10% of the milestone gross amount) directly from the milestone pool via process_milestone_release_and_fee.
  • Release transactions are row-locked, atomic, and immutable once committed. Fee calculations, escrow debits, partner credits, and ledger entries occur in a single database transaction; partial or reversed releases are not available through the customer interface.
  • You waive any claim for chargeback, credit reversal, or fee dispute against milestone releases that you voluntarily authorized, except where applicable law mandates otherwise. Stripe payment disputes on unrelated storefront purchases do not entitle parties to unwind completed escrow releases recorded in the partner wallet ledger.

Migration credits, license entitlements, and partner wallet balances are distinct financial instruments. Consumption of migration credits or escrow releases is final; no goodwill credits will be issued for user error, incorrect IP binding, or disputes arising after authoritative RPC completion.

9. Anti-Abuse Protections & Rate-Limit Authorization

To protect accounts, credentials, and Platform integrity against automated enumeration, credential stuffing, and scraping, you expressly authorize Soviez ERP to enforce the following protective system boundaries:

  • Signup OTP lockout: five consecutive failed email verification attempts trigger a 15-minute account lockout before further OTP submission is accepted.
  • Dynamic IP bucket isolation: guest Technical Support chat, coupon validation, and other sensitive endpoints apply per-IP rate buckets stored in api_rate_limits, segregated from authenticated user buckets.
  • Server-side rate limits: including guest Nancy chat (6 requests per 60-second sliding window), authenticated chat cooldowns, and API throttles enforced before business logic executes.
  • Input sanitization: guest chat accepts text-only payloads; client-injected tool replay and prompt-override patterns are stripped server-side.

Attempting to circumvent, disable, or probe these controls constitutes unauthorized access and a material breach of these Terms. We may suspend or terminate accounts, block IP ranges, and preserve audit evidence without prior notice when abuse is detected.

10. Odoo S.A. Independent Provider Disclaimer

Soviez ERP is a fully independent solution operated separately from Odoo S.A. Odoo S.A. and its affiliates bear no liability, no responsibility, and no contractual relationship toward Soviez ERP, its operators, its customers, or any deployment derived from our container images or documentation.

References to Odoo 18 documentation describe functional compatibility standards that Soviez ERP emulates on Community Edition—they do not imply partnership, certification, or endorsement by Odoo S.A. Odoo S.A.'s official technical support applies only to their native distributions and subscription products through their own channels.

You acknowledge that any inquiry, ticket, or support request directed to Odoo S.A. regarding Soviez ERP is undertaken at your own risk and without any expectation of assistance from Soviez ERP or Odoo S.A.

11. Limitation of Liability & Warranty Disclaimer

THE SOFTWARE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

To the maximum extent permitted by applicable law, Soviez ERP, its operators, affiliates, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the Services, including but not limited to:

  • Data loss, corruption, or unauthorized access;
  • Revenue loss, profit loss, or business interruption;
  • Server downtime, deployment failures, or container orchestration errors;
  • Installation add-on delays, credential handling disputes, or customer-provided access errors;
  • Regulatory, tax, or auditing discrepancies; or
  • Any reliance on marketing materials, documentation, or third-party integrations.

Your sole remedy for dissatisfaction with the Services is to discontinue use. Some jurisdictions do not allow certain warranty exclusions or liability limitations; in those jurisdictions, our liability shall be limited to the fullest extent permitted by law.
